On behalf of the Board of Directors of SJC (?Board?), M&A Securities Sdn Bhd (?M&A Securities?) wishes to announce that SJC proposes to undertake the following proposals:

1. a private placement of up to 14,560,000 new ordinary shares in SJC (?SJC Share(s)? or ?Share(s)?) (?Placement Shares?), subject to the issuance of the placement shares not exceeding 20% of the total number of issued SJC Shares, at an issue price to be determined later (?Proposed Private Placement?); and
2. a bonus issue of shares of up to 262,079,985 new SJC Shares (?Bonus Share(s)?) on the basis of 3 Bonus Shares for every 1 existing SJC Share held by the entitled shareholders of the Company on an entitlement date to be determined and announced later by the Board (?Entitled Shareholder(s)?) (?Entitlement Date?) (?Proposed Bonus Issue of Shares?).
